These terms govern your access to and use of the Citely service. They're written to be clear, not to trap. By using Citely, you accept them — please read them.
By creating an account, installing the Citely app or using the Service in any way, you accept these terms and our Privacy Policy. If you act on behalf of a company, you represent that you are authorized to bind it.
If you do not accept these terms, do not use the Service.
Citely is a GEO/AEO tool for Shopify stores: it audits, structures and measures your catalog to make it more readable and citable by AI answer engines. Citely works on the structured-data layer (metafields, markup), without modifying your visible theme.
The Service is intended for professionals operating a Shopify store. You must have the legal capacity to contract and comply with Shopify's terms and applicable laws.
To work, Citely connects to your store via Shopify OAuth and requests read permissions (catalog) and limited write permissions (metafields in its dedicated namespace). You can revoke this access at any time by uninstalling the app; the added layer is then removed.
The Service is offered as subscriptions (see Pricing), whose scope depends on the size of your catalog. A free trial may be offered; at its end, the chosen subscription takes over, unless you cancel.
You can cancel at any time from your account. Cancellation takes effect at the end of the current period; no pro-rata refund is due for the started period, unless mandatory law provides otherwise. Uninstalling the app cleanly removes the structured layer from your store.

Citely's principle is to amplify what's real, never invent: using it to fabricate false product data is contrary to these terms.
You retain all rights to your catalog data and content. You grant us a limited, non-exclusive license, for the duration of the service, to process this content solely to provide the Service (audit, structuring, measurement). Processing of personal data is governed by the Privacy Policy and, where applicable, the DPA.
The Service, its software, brand, design and documentation remain the property of Citely and its licensors. These terms transfer no ownership to you, only a limited right to use the Service for the duration of your subscription.
Some Service outputs are generated using AI models from your data. You remain responsible for verifying the accuracy of the content before publishing. Citely structures what exists in your catalog; it does not create facts, but automated output may contain errors — review before publishing.
Citely creates the conditions for your catalog to be readable and citable by AI. It does not guarantee that you will be cited, nor any volume of citations, traffic or sales. The decision to cite a source belongs to the engines, which evolve independently of us.
The Service relies on third parties (notably Shopify and AI model providers). Their availability and terms are outside our control. An interruption or change at a third party may affect the Service; we are not responsible for the acts or omissions of these third parties.
We strive to keep the Service available, but we do not guarantee uninterrupted or error-free operation. No quantified service level (SLA) is guaranteed on standard plans; an availability commitment may be negotiated in an enterprise context. Support is provided by email, directly.
To the extent permitted by law, the Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including fitness for a particular purpose, merchantability or non-infringement. Some jurisdictions do not allow the exclusion of certain warranties; in that case, the exclusions apply to the extent permitted.
To the extent permitted by law, Citely shall not be liable for indirect, incidental or consequential damages (loss of profits, data, revenue or opportunities). Citely's total liability, for all causes combined, is limited to the amount you paid for the Service in the twelve (12) months preceding the event giving rise to liability.
You agree to indemnify Citely against third-party claims arising from your use of the Service in breach of these terms, the law or a third party's rights, including in respect of the content you publish.
We may suspend or terminate your access in case of breach of these terms, a security risk or a legal obligation. Where reasonably possible, we will inform you. Upon termination, your right to use the Service ends and the structured layer may be removed.
We may evolve the Service and update these terms. For significant changes, we will inform you by an appropriate means. Continued use after the effective date constitutes acceptance of the updated terms.
These terms are governed by Belgian law. Any dispute falls under the jurisdiction of the courts of Brussels (Belgium), subject to mandatory rules protecting consumers or applicable locally.
